1. Agreement to Terms

By creating an account or using S2NIQ ("the Service"), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service & AI Disclaimer

S2NIQ provides an AI-assisted advisor chat experience designed to help users prepare and refine their investor communications. Through guided conversations, the Service generates an Investor Signal Snapshot and related materials.

Artificial Intelligence: You acknowledge that S2NIQ utilizes artificial intelligence. Outputs may occasionally be inaccurate, incomplete, or repetitive. You are solely responsible for reviewing and verifying any generated materials before using them in real-world investor interactions.

3. Privacy, Confidentiality, and Data Use

The Service collects your name, company name, email, and conversation content to deliver the experience.

Your Content: You retain ownership of the data and content you input. You grant us a limited license to use this data solely to provide, maintain, and improve the Service.

AI Training: We do NOT use your private data to train our foundational AI models.

Sensitive Data: While we implement reasonable security measures, you should avoid submitting highly sensitive trade secrets or sensitive personal information (PII) into the chat.

4. Account and Eligibility

You must provide accurate information when signing up and keep your account credentials secure. You are responsible for all activity under your account. The Service is intended for users who are at least 18 years old and have the authority to enter into these terms on behalf of their company.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Attempt to reverse-engineer, scrape, or bypass the security of the Service or its underlying AI models.
• Submit false, misleading, or defamatory information.
• Impersonate others or misrepresent your affiliation with any entity.

We reserve the right to suspend or terminate your access immediately if we believe you have violated these terms.

6. Intellectual Property

S2NIQ, including its branding, software, underlying technology, and platform design, is owned by us or our licensors. You may not copy, modify, or distribute our platform materials without permission. However, you own the specific outputs (e.g., your customized Investor Signal Snapshot) generated from your inputs, subject to your compliance with these Terms.

7. Disclaimers: Not Professional Advice

The Service is provided on an "as is" and "as available" basis. We do not guarantee that advisor conversations or Investor Signal Snapshots will secure funding or achieve any particular business outcome. S2NIQ is not a substitute for professional legal, financial, or investment advice. Always use your own judgment and consult qualified professionals before sharing materials with actual investors.

8. Limitation of Liability

To the fullest extent permitted by law, S2NIQ and its creators are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, lost profits, or missed business opportunities. Our total liability to you for any claim arising out of these Terms is limited to the amount you paid us, if any, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless S2NIQ, its affiliates, and its employees from any claims, damages, or legal fees arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights (including uploading copyrighted materials into the chat).

10. Governing Law & Dispute Resolution
